The majority of our Board is made up of independent members, in accordance with the NASDAQ Stock Market Marketplace Rules;
An independent director serves as the Chairman of the Board;
The Board of Directors has three committees:
Audit Committee
Compensation Committee
Nominating and Corporate Governance Committee
All members of our Board committees are independent as required by the NASDAQ Stock Market Marketplace Rules;
The Charters of our Board committees clearly establish their respective roles and responsibilities;
We provide an ethics hotline for our employees to submit their complaints and concerns regarding accounting, accounting internal controls or auditing matters in a confidential, anonymous manner; and
We have adopted a Code of Business Conduct and Ethics for our directors, officers and employees, and a Code of Personal Conduct for all our employees.
